We all aspire to perfection. It is a natural drive within us to make sure things work well and are as good as they can be.

"The Perfect Board" is a set of precepts and ideas that can enable people, even the uninitiated, to work together . . . effectively . . . efficiently . . . and harmoniously to achieve the goals of the organization.


Obligation

Make no mistake about it, the principle duty of the Board of Directors, and thereby each director, is to lead and care for the organization. This authority is passed along by law, but obligations accompany it.

Directors are responsible for acting in the best interests of the organization.They are to use sound judgment, prudence and diligence in discharging their responsibilities. Wise Directors use the same benchmarks of performance for the organization as they would in running their own businesses.


Honesty

Honesty is not up for grabs.

A Director must be honest. Period. There is just no room for lies, cheating, stealing or dishonesty on a Board of Directors.

If you discover another Director is dishonest, it is up to you to make the challenge. Tough to do? You bet, and it takes courage and character.

If you see a wrong, it is your obligation to do something about it. And you must do it today . . . not tomorrow or next month.

If you are unwilling to accept this responsibility, then you really should consider either not getting on the Board or resigning if you are on a Board. It's that important!
